1. Acceptance of Terms

Welcome to Tabgen. These Terms and Conditions ("Terms") govern your access to and use of the Tabgen platform, mobile application, and related services (collectively, the "Platform") operated by Tabgen, headquartered in Hyderabad, Telangana, India.

By accessing or using the Tabgen Platform, you agree to be legally bound by these Terms. If you do not agree to these Terms, please discontinue use of the Platform immediately.

2. Platform & Services

Tabgen provides a digital platform that facilitates the distribution of pharmaceutical products from licensed distributors to pharmacies, hospitals, clinics, and other healthcare providers. Our services include:

• Digital order placement and management for pharmaceutical products
• Real-time inventory tracking and monitoring tools
• Delivery tracking and logistics coordination services
• Automated invoicing and compliance documentation generation
• Business analytics and performance reporting dashboards
• Mobile application for on-the-go distribution management

Tabgen reserves the right to modify, suspend, or discontinue any aspect of the Platform at any time with reasonable notice to registered users. We are not liable for any modification, suspension, or discontinuation of services.

3. Eligibility & Registration

To use the Tabgen Platform, you must meet the following eligibility requirements:

• Be at least 18 years of age or a legally incorporated business entity
• Hold valid and current licenses required to operate in the pharmaceutical distribution or retail sector under applicable Indian law
• Provide accurate, complete, and current information during registration
• Maintain the security and confidentiality of your account credentials
• Not be barred from accessing pharmaceutical platforms under any applicable law or regulation

You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorized access or breach of security.

4. User Obligations

As a user of the Tabgen Platform, you agree to:

• Use the Platform only for lawful purposes and in compliance with all applicable laws, including Indian pharmaceutical regulations and the Drugs and Cosmetics Act
• Not misrepresent your identity, licensing status, or the nature of your business
• Not upload, transmit, or distribute any false, misleading, or fraudulent information
• Not attempt to gain unauthorized access to any part of the Platform or other users' accounts
• Not use automated systems or bots to access or scrape the Platform without prior written consent
• Comply with all compliance monitoring requirements embedded within the Platform
• Promptly update your registration information if any details change

5. Orders & Transactions

All orders placed through the Tabgen Platform are subject to availability and confirmation by the relevant licensed distributor. Tabgen facilitates the transaction but is not the seller of pharmaceutical products unless expressly stated otherwise.

By placing an order, you represent and warrant that:

• You have the legal authority to purchase the pharmaceutical products ordered
• The products will be used for lawful purposes only
• All information provided in the order is accurate and complete

Tabgen reserves the right to cancel or refuse any order that appears to violate applicable pharmaceutical laws, regulations, or these Terms.

6. Payments & Pricing

All prices on the Platform are displayed in Indian Rupees (INR) and are inclusive of applicable taxes unless otherwise stated. Pricing is subject to change at any time, and the price applicable to your order will be the price confirmed at the time of order placement.

Payment terms, credit facilities, and return policies are governed by the specific agreement between the buyer and the distributor facilitated through the Platform. Tabgen processes payments securely through industry-standard payment gateways.

Any disputes related to payment should be reported to Tabgen within 7 days of the transaction date. Tabgen will make reasonable efforts to resolve payment disputes in a fair and timely manner.

7. Intellectual Property

All content, features, and functionality on the Tabgen Platform — including but not limited to logos, software, text, graphics, icons, images, design elements, and the compilation thereof — are the exclusive property of Tabgen and are protected under applicable Indian and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for its intended commercial purposes. You may not:

• Copy, reproduce, or distribute any content from the Platform without written consent
• Reverse engineer, decompile, or disassemble any software on the Platform
• Use Tabgen's trademarks, logos, or brand elements without prior written authorization
• Create derivative works based on the Platform or its content

8. Privacy & Data

Your privacy is important to us. Our collection, use, and protection of your personal and business data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Platform, you consent to the collection and use of your information as described in our Privacy Policy. We are committed to protecting your data in compliance with applicable Indian data protection laws and regulations.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Tabgen shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or related to your use of the Platform.

Tabgen's total liability in connection with any claim arising from or related to the Platform shall not exceed the total amount paid by you to Tabgen in the three (3) months preceding the claim.

Tabgen does not warrant that the Platform will be uninterrupted, error-free, or free from viruses or other harmful components. Use of the Platform is at your own risk.

10. Termination

Tabgen reserves the right to suspend or terminate your account and access to the Platform at any time, with or without cause, including if we believe you have violated these Terms, applicable laws, or regulatory requirements.

You may terminate your account at any time by contacting us at connect@tabgen.in. Upon termination, your right to access the Platform will immediately cease, though provisions of these Terms that should survive termination will continue to apply.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, specifically the laws of the State of Telangana. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.

In the event of any dispute, the parties shall first attempt to resolve the matter through good-faith negotiation. If such negotiation fails, disputes may be referred to arbitration in accordance with Indian Arbitration and Conciliation Act, 1996.
